Terms of Use
These Terms of Use govern access to and use of ODEON Health's website, assessment tools, Academy platform, and digital credentialling services. By accessing or using any ODEON Health service, you agree to be bound by these terms. If you are accessing ODEON Health services on behalf of an institution, you confirm that you have the authority to bind that institution to these terms.
Definitions
- "ODEON Health" means ODEON Health A.M.K.E., a Greek non-profit (G.E.MI. 194135838000).
- "Services" means the ODEON Health website, Digital Health Self-Assessment Tool (DHSAT), AI-SAT, ODEON Health Academy (including all courses, modules, and learning materials), and the digital credentialling system.
- "Institutional Partner" means a medical society, hospital, hospital group, or regional or national health authority that has entered into a contractual agreement with ODEON Health.
- "Clinician" means a healthcare professional participating in ODEON Health assessments or courses, whether as part of an institutional deployment or as a direct individual enrolment (L4–L5, coming 2027).
- "Credential" means a verifiable digital badge or certificate issued by ODEON Health upon completion of an assessment level, conforming to the Open Badges / IMS Global standard.
- "Content" means all assessment questions, scoring frameworks, course modules, learning materials, domain frameworks, and any other intellectual property created, owned, or licensed by ODEON Health.
Access and Eligibility
ODEON Health services are currently available to institutions and individuals located within the European Union and European Economic Area. Worldwide availability is anticipated in a future phase; these terms will be updated accordingly.
Levels 1–3 (Foundation): Access is available exclusively through an institutional deployment arranged by an ODEON Health Institutional Partner. Individual clinicians may not enrol directly at L1–L3.
Levels 4–5 (Specialist and Senior Fellow): Direct individual enrolment will be available from 2027. These terms will be updated to reflect individual enrolment conditions at that time.
By accessing ODEON Health services, you represent that you are at least 18 years of age and, where applicable, a licenced or registered healthcare professional.
Intellectual Property
All Content — including but not limited to assessment questions and scoring methodology, domain frameworks, competency descriptors, course modules, video content, written materials, and the ODEON Health brand — is the exclusive intellectual property of ODEON A.M.K.E. and is protected by applicable copyright, trademark, and intellectual property law.
- You may not reproduce, copy, distribute, sell, sublicense, or create derivative works from any ODEON Health Content without prior written consent from ODEON Health.
- Access to ODEON Health Content for the purpose of completing an assessment or course does not transfer any intellectual property rights to you or to your institution.
- Course authors who have contributed content under an ODEON Health Author Agreement retain attribution rights as specified in that agreement; all other rights vest in ODEON Health.
Digital Credentials
Pending Decision: The ownership model for digital credentials is under review. Two positions are presented below for editorial resolution.
Option A — ODEON Health-issued, clinician-licensed (recommended):
ODEON Health issues and owns each digital credential as a certification mark. Upon verified completion of the relevant assessment level, ODEON Health grants the clinician a personal, non-transferable, irrevocable licence to use, display, and share their credential for professional identification purposes. This licence is not affected by the clinician's departure from the deploying institution.
Option B — Clinician-owned:
Upon verified completion of the relevant assessment level, the digital credential is issued to and owned by the clinician outright. ODEON Health retains the right to revoke a credential in the event of verified fraud, material misrepresentation, or a change to the underlying assessment standard.
Regardless of ownership model, the following conditions apply:
- Credentials are issued in accordance with the Open Badges / IMS Global standard and are verifiable by third parties via the ODEON Health credential registry.
- A credential may be revoked by ODEON Health in the event of verified fraud or material misrepresentation in the completion of an assessment.
- Credentials do not constitute a medical licence, regulatory approval, or endorsement by any professional body unless explicitly stated.
- ODEON Health reserves the right to update credential standards; clinicians holding existing credentials will be notified of any material changes.
Acceptable Use
You agree not to:
- Attempt to circumvent, reverse-engineer, or otherwise compromise ODEON Health's assessment methodology, scoring algorithm, or platform security.
- Share assessment questions, answers, or scoring criteria with any third party.
- Complete an assessment on behalf of another person or permit another person to complete an assessment on your behalf.
- Use ODEON Health services for any commercial purpose without a written agreement with ODEON Health.
- Use ODEON Health services in a manner that violates applicable law, including but not limited to GDPR and the EU AI Act.
Disclaimer and Limitation of Liability
ODEON Health services are provided for professional education and competency development purposes only. They do not constitute clinical advice, medical guidance, legal advice, or regulatory compliance certification.
Completion of an ODEON Health assessment or course does not guarantee compliance with any specific regulatory requirement under the EU AI Act, GDPR, NIS2, the European Health Data Space Regulation, or any other applicable law. Clinicians and institutions remain solely responsible for their own regulatory compliance.
To the fullest extent permitted by applicable law, ODEON Health's aggregate liability for any claim arising out of or related to these Terms of Use or the use of ODEON Health services shall not exceed the fees paid by the relevant Institutional Partner in the twelve (12) months preceding the claim.
ODEON Health shall not be liable for indirect, incidental, special, consequential, or punitive damages of any kind.
Modifications to the Services
ODEON Health reserves the right to modify, suspend, or discontinue any aspect of its services at any time, with reasonable notice to Institutional Partners where such changes materially affect contracted services. ODEON Health will not be liable to any party for any modification, suspension, or discontinuation of services.
Governing Law and Dispute Resolution
These Terms of Use are governed by the laws of Greece, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms of Use, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (ICC). The seat of arbitration shall be ODEON Health A.M.K.E., 84400 Paros, Cyclades | Greece. The language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent interim relief from a competent court prior to the constitution of the arbitral tribunal.
Changes to These Terms
ODEON Health may update these Terms of Use from time to time. Material changes will be communicated to Institutional Partners with a minimum of 30 days' notice before taking effect. Continued use of ODEON Health services after the effective date of revised terms constitutes acceptance.
These terms were last updated in September 2026.
